Warranty coverage is voided if Products are damaged due to misuse, neglect, natural disasters, or unauthorized repair. 10. Disclaimers of Warranties

Ksun Solar disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that product performance will meet your specific expectations.

Solar and energy storage product performance is subject to environmental conditions, installation quality, and system configuration; Ksun Solar does not guarantee specific energy production or savings results. For cross-border sales, Ksun Solar does not warrant that the Products will comply with all local laws, regulations, or certification requirements of the destination country/region, unless explicitly agreed in writing. It is the User’s/Distributor’s responsibility to verify compliance with local requirements.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KSUN SOLAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, PRODUCTS, OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, DATA LOSS, OR PERSONAL INJURY.

For Overseas Distributors, you further agree to indemnify Ksun Solar against any claims, damages, or losses arising from your failure to comply with local laws, regulations, or certification requirements, your unauthorized use of Ksun Solar’s intellectual property, or your breach of the Distributor Agreement.

Any disputes arising from these Terms or your use of the Website, Products, or Services shall first be resolved through good-faith negotiation between you and Ksun Solar. If a resolution cannot be reached, disputes shall be submitted to the competent courts in the jurisdiction where Ksun Solar is registered for settlement. For cross-border sales and Overseas Distributors, disputes related to the Distributor Agreement shall be resolved in accordance with the dispute resolution clause set forth in the separate Distributor Agreement.

15. General Provisions

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy and Product Warranty Policy, constitute the entire agreement between you and Ksun Solar regarding your use of the Website and Services, superseding all prior oral or written agreements. For Overseas Distributors, the Distributor Agreement shall supplement these Terms, and in the event of a conflict, the Distributor Agreement shall prevail.

17. Supplementary Terms for Cross-Border Sales & Overseas Distribution

17.1 Authorization for Overseas Distribution

Overseas Distributors must obtain written authorization from Ksun Solar prior to distributing Ksun Solar Products in any overseas region. The scope of authorization (including region, product range, and sales channels) shall be specified in a separate Distributor Agreement. Unauthorized distribution, resale, or transshipment of Ksun Solar Products to unauthorized regions shall constitute a material breach of these Terms, and Ksun Solar reserves the right to terminate the Distributor’s authorization, suspend product supply, and pursue legal remedies.

17.2 Import Duties & Taxes

For all cross-border sales, the User or Overseas Distributor shall be solely responsible for paying all import duties, taxes, tariffs, and other fees imposed by the destination country/region. Ksun Solar shall not be liable for any delays, penalties, or additional costs arising from the User’s/Distributor’s failure to pay such fees or comply with customs regulations. Ksun Solar may provide necessary documentation (e.g., commercial invoice, packing list, certificate of origin) to assist with customs clearance, but shall not be responsible for the outcome of customs inspections.

17.3 International Shipping & Risk of Loss

International shipping for cross-border orders shall be arranged by Ksun Solar or the User/Distributor, as agreed. The risk of loss or damage to the Products shall pass to the User or Overseas Distributor upon delivery of the Products to the shipping carrier. Ksun Solar shall not be liable for any loss, damage, or delay caused by the shipping carrier, customs authorities, or other third parties. Insurance for the Products during international shipping may be purchased by the User/Distributor at their own expense.

17.4 Local Compliance

The User or Overseas Distributor shall comply with all applicable laws, regulations, and industry standards in the destination country/region, including but not limited to laws related to product safety, environmental protection, import/export control, and intellectual property. This includes obtaining all necessary certifications, licenses, and approvals for the import, sale, and use of Ksun Solar Products (e.g., CE, UL, TÜV, local grid connection certifications). Ksun Solar shall not be liable for any penalties, fines, or other damages arising from the User’s/Distributor’s failure to comply with local requirements.

17.5 Currency & Payment Terms

Cross-border orders shall be paid in the currency specified in the order confirmation, unless otherwise agreed. Payment terms for cross-border sales and Overseas Distributors shall be specified in the order confirmation or Distributor Agreement. Ksun Solar reserves the right to require advance payment or a letter of credit for cross-border orders, at our sole discretion. The User/Distributor shall be responsible for any bank fees, exchange rate fluctuations, or other costs associated with cross-border payments.

17.6 Termination of Cross-Border Sales/Distribution

Ksun Solar may terminate cross-border sales to a User or terminate a Distributor’s authorization if the User/Distributor violates these Terms, the Distributor Agreement, or local laws, or if Ksun Solar determines that the User/Distributor is no longer a suitable partner. Upon termination, the User/Distributor shall cease all sales, promotion, and distribution of Ksun Solar Products, return all unused Ksun Solar brand materials and technical documents, and settle all outstanding payments to Ksun Solar.
